Terms and Conditions

TERM

3D ContentCentral 2010 Beta (the "Program") will begin at 9:01 AM (ET) on August 20, 2009, and all issue reports must be received by 2:59 p.m. (ET) on October 5, 2009 (the "Program Period").

ELIGIBILITY

The Program is open to anyone who is 18 years of age or older and has a valid 3D ContentCentral registration at the time of entry. Employees of Dassault Systèmes SolidWorks Corporation ("DS SolidWorks") and their immediate family members, and any persons domiciled with such employees, are not eligible to participate. The Program is void where prohibited or restricted by laws, local and national, regarding programs, e.g. the Netherlands, Sweden and Israel.

SUPPLIER SERVICES DISCOUNTS

Once the 2010 Beta program concludes on October 5, 2009, all Participants’ homework items will be reviewed and graded. Participants will be awarded discounts based on the number of completed homework items per supplier catalog. Only one (1) discount per participant will be awarded which may consist of cumulative total discounts from multiple beta periods.

Only one (1) discount per supplier catalog may be redeemed, and must be done so by January 31, 2010. The 3-month discount period must be started after a "Basic" Supplier Service account is created by a Beta participant on 3D ContentCentral 2010 and prior to January 31, 2010.

Steps for discount redemption:

  1. Beta participant must establish a "Basic" Supplier Services account on 3D ContentCentral live site after the 2010 release (not Beta).
  2. Beta participant must submit support request to 3D ContentCentral with subject "Redeem Beta Program Discount."
  3. Beta participant will be asked to provide discount issue report number (SR number) obtained upon conclusion of Beta Program.

Discounts are non-transferrable and have no cash value. Discounts are not applicable to any DS SolidWorks or other Dassault Systèmes product other than a Supplier Services subscription fee on 3D ContentCentral.

PROMOTIONAL PERIOD

The 3D ContentCentral 2010 Beta1 period will start at or about 9:01AM (ET) on August 20, 2009, and will conclude on September 4th, 2009 at 3:00PM (ET). 3D ContentCentral Beta2 period will begin on September 16th, 2009, at or about 9:01 AM (ET) and will conclude on September 23rd, 2009, at 3:00PM (ET). 3D ContentCentral Beta3 period will begin on September 28th, 2009, at or about 9:01 AM (ET) and will conclude on October 5th, 2009, at 3:00PM (ET).

Beta participants are asked to complete "Supplier Homework" items to earn discounts off Supplier Services subscription fees for the first three (3) months of their Supplier Services subscription. Beta participants are asked to report issues that they discover and that deter them from completing their homework. Once a participant’s homework is completed, that participant must report a final issue with subject "Homework Review" to have his or her homework graded by a 3D ContentCentral Beta administrator.

All Beta1 "Homework Review" issues submitted prior to September 4th, 2009 at 2:59PM (ET) will be eligible for determination of Supplier Services discounts earned in the Beta1 period. All Beta2 "Homework Review" issues submitted prior to September 25th, 2009, at 2:59PM (ET) will be eligible for determination of Supplier Services discounts earned in the Beta2 period. All Beta3 "Homework Review" issues submitted prior to October 5th, 2009, at 2:59PM (ET) will be eligible for determination of Supplier Services discounts earned in the Beta3 period.

No partial credit will be given for individual homework items that are not completed and demonstrable to a Beta administrator. Credit will be given for reported issues that prohibit participants from completing homework items. Participants will receive an email with their SR number that they must keep to redeem for credit.

Homework Review issues must be submitted prior to the close of each Beta period to earn discounts for homework completed during that Beta period. For example, homework completed during Beta1 will be destroyed at the conclusion of Beta1, so a Beta administrator must review individual supplier catalogs prior to the conclusion of Beta1.

HOMEWORK REVIEW ISSUE

Once a supplier has finished its homework during a Beta period and reported any issues found while completing such homework, it must report one more Issue requesting a "Homework Review," which contains the following:

  1. Beta participant contact information
    1. Name
    2. Company name
    3. Email
    4. Address
    5. Phone number
  2. Supplier Services Beta catalog name
  3. Any external links used with "Models on your website" to get credit for items
  4. Checklist showing homework items completed
  5. List of any SR numbers that prevented completion of a homework item

A 3D ContentCentral Beta program administrator will then review the Homework item checklist to verify each completed item and calculate the discount to be awarded. The discount awarded will be documented and assigned to the last SR number submitted by the Beta participant.

NOTIFICATION

Beta participants will be notified of any Supplier Services discounts they earn by telephone and/or electronic mail on or about October 23rd, 2009.

Participation in the program constitutes entrant's consent to the publication of his or her name and image in any media for any commercial or promotional purpose, without limitation or further compensation.

LIMITATIONS OF LIABILITY

By entering the Program, each Participant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with the Program, or any discount awarded, shall be resolved individually without resort to any form of class action; (2) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Program, but in no event attorney's fees; and (3) under no circumstances will any Participant be permitted to obtain any award for, and Participant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.

Dassault Systèmes SolidWorks is not responsible for any incorrect or inaccurate information, whether caused by web site or customer or VAR portal users or by any of the equipment or programming associated with or utilized in the Program. IN NO EVENT WILL DASSAULT SYSTEMES SOLIDWORKS CORPORATION, ITS LICENSEES, AND OR THEIR RESPECTIVE PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. WITHOUT LIMITING THE FOREGOING, EVERYTHING PROVIDED FOR THE PROGRAM, INCLUDING ANY SOFTWARE, IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. AS SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.

Acceptance of Rules

By participating in the Program, Participants affirm that they have read and accepted these official Program rules. The laws of the Commonwealth of Massachusetts, without regard to its rules and principles of conflicts of laws, apply to and govern this Program, and any claims must be raised and resolved in Massachusetts. The foregoing includes all issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions, and the rights and obligations of any Participant and Dassault Systèmes SolidWorks Corporation. The invalidity or unenforceability of any provision of these rules shall not affect the invalidity or unenforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

SPONSOR

The 3D ContentCentral 2010 Beta Program is sponsored by Dassault Systèmes SolidWorks Corporation, whose decisions regarding the awarding of discounts and all other aspects of the program shall be final and binding in all respects. Dassault Systèmes SolidWorks Corporation will not be responsible for typographical, printing, or other inadvertent errors in these Official Program Rules or in other materials relating to the program.
